Implement integrity in business operations

The company MA-tek has established regulations such as the "Corporate Governance Code," "Code of Integrity Management," "Code of Ethical Conduct," "Employee Code of Professional Ethics," "Sustainable Development Practices Code," and "Risk Management Measures" to build a good governance structure. Following relevant regulations, the company actively implements corporate governance while clearly regulating the self-discipline and ethical behavior of directors, managers, and employees. In 114, MA-tek did not experience any disputes or lawsuits related to professional ethics.

 

The situation of internal and external education and training related to integrity management.

 

In the 114th year, the company held internal and external training related to integrity management topics (including compliance with integrity management regulations, prevention of insider trading promotion, business performance and risk, accounting systems, and internal controls, etc.) totaling 9 person-times and a total of 63 hours.

 

On October 28, 2025, a "Insider Trading Prevention Training and Promotion" course will be conducted for all directors and all employees. The target audience includes 8 directors and independent directors, as well as 933 employees (including managers) of the company, in order to enhance the understanding of insider trading among directors and all colleagues, and to avoid controversies related to inadvertent involvement in insider trading.

 

The company also strengthens the promotion of integrity, ethics, anti-corruption, and anti-bribery requirements during the training of new employees. As of December 31, 2025, a total of 691 individuals have completed the training promotion.

 

Preventive measures

 

1. Prevention of insider trading:

 

(1) The company has established "Internal Major Information Processing and Insider Trading Prevention Operating Procedures," which prohibit internal personnel from trading securities based on undisclosed information in the market. This serves as the basis for the company's major information processing and disclosure mechanism, and also provides education and advocacy on insider trading management for newly appointed directors and managers before they assume their positions, ensuring that they understand the relevant legal regulations and requirements.

 

(2) The company conducts education and promotion regarding "Internal Major Information Processing and Insider Trading Prevention Procedures" and related laws at least once a year for insiders and specific supervisors and colleagues, in order to effectively implement the prevention of insider trading.

2. Preventing Conflicts of Interest: Our company stipulates in the "Code of Ethical Conduct" that directors, managers, and stakeholders attending or present at board meetings who have a vested interest in the proposals listed by the board, in relation to themselves or the legal entities they represent, must explain the important content of their vested interest at the current board meeting. If there is a risk of harming the company's interests, they must not participate in the discussion or voting, and should recuse themselves during the discussion and voting, and must not delegate their voting rights to other directors.

3. Signing the Integrity Clause: In order to make company members understand MA-tek's emphasis on integrity in business operations and professional ethics, an integrity clause has been added to the "Employment Agreement" to let colleagues understand the code of conduct to be followed regarding integrity and professional ethics issues; externally, the integrity management code and other related documents are disclosed on the company website, and suppliers are required to sign the "Integrity Commitment Letter."

4. Regular Education and Training: Our company conducts courses related to integrity and professional ethics every year (including: corporate social responsibility and employee ethical standards, guidelines for employee ethical practices, and training on the protection of confidential information). The content explains important concepts and regulations such as integrity management, compliance with laws and regulations, prevention of insider trading, prohibition of improper benefits, intellectual property and confidentiality, prevention of conflicts of interest, and fair trading.
