MA-tek sells 80% of its Shanghai subsidiary, expected to complete the transaction by the end of the year.

MA-tek3587-TWToday (31), a board meeting was held to approve the disposal of 80% equity in the mainland company MA-tek Technology Testing (Shanghai) through indirect investment, with a disposal value of approximatelyRMB  15.2 billion yuan, equivalent toNT$Approximately 7.269 billion, the transaction price will be paid in cash. After the transaction is completed, the investment group will hold 80% of MA-tek Shanghai's equity, while MA-tek will retain 20% equity, and future investments in China will adopt the equity method for recognition.

MA-tek currently has multiple locations in the Chinese market and plans to reorganize its structure and sell during this process. After the sale, it is expected to concentrate resources to capture the markets in the United States and Japan; currently, MA-tek's revenue and profit from China account for about 30% or more.

 

MA-tek stated that this time MA-tek (Shanghai) will be sold to an investment group consisting of Xiamen Industrial Investment Co., Ltd., Xiamen Venture Capital Co., Ltd., Shenzhen Kunbo Financial Management Consulting Co., Ltd., Suzhou Industrial Park Yuanhe Wuqin Equity Investment Partnership (Limited Partnership), Xiamen Kunhong Investment Partnership (Limited Partnership), and Shanghai Hongjia Enterprise Management Consulting Partnership (Limited Partnership) as well as Red Peak Limited.

MA-tek Shanghai has been deeply involved in the Chinese semiconductor analysis and testing market for many years, providing testing and analysis solutions from raw materials to finished products for the semiconductor industry chain. The services cover reliability verification (RA), failure analysis (FA), material analysis (MA), surface analysis (SA), and chemical analysis (CA), among others. The company has laboratories and service locations in Shanghai, Suzhou, Xiamen, and Shenzhen.

 

MA-tek pointed out that in recent years, benefiting from trends such as AI, HPC, advanced processes, and advanced packaging, the complexity of high-end chip design and manufacturing continues to increase, further driving market demand for high-end testing services. Especially in the development process of AI chips, the demand for burn-in testing and related analysis and verification services has significantly increased for high power consumption and high computing performance products.

MA-tek is optimistic that this transaction will help improve the group's resource allocation and operational efficiency. In the future, MA-tek will continue to focus on the research and development of advanced analytical testing technologies, enhance global laboratory service capabilities, and expand into international markets to seize market opportunities in the advanced semiconductor industry.

The delivery of this case will be processed after obtaining the consent of the shareholders' meeting and the approval of the relevant authorities, and it is expected to complete all procedures and carry out the delivery before the end of 2026.
